1. Agreement to Terms & Legal Compliance

By accessing or using the services of EasyWebPlans Information Technology LLC ("Company," "we," "us"), you agree to be bound by these Terms & Conditions. These terms comply with:

• UAE Commercial Code (Federal Law No. 18 of 1993)
• UAE Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law)
• Dubai Data Law (Law No. 26 of 2015)
• DIFC Data Protection Law (Law No. 5 of 2020)
• UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021)
• Dubai Electronic Security Center (DESC) regulations

If you do not agree to these terms, please do not use our services.

3. Services Provided

We provide the following services:

• Web Design & Development
• Digital Marketing Services (SEO, PPC, Social Media Marketing)
• Mobile App Development (iOS, Android, Cross-Platform)
• E-commerce Solutions
• AI & Machine Learning Development
• Content Marketing & Copywriting
• Graphic Design & Branding
• Website Maintenance & Support

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or Service Agreement.

4. Payment Terms & Conditions

• Currency: All payments are in UAE Dirhams (AED) unless otherwise specified
• Payment Schedule: 50% advance payment to start work, 50% upon project completion
• Payment Methods: Bank transfer, credit card, or other methods as agreed
• Late Payment: A 1.5% monthly interest charge applies to payments overdue by 30+ days
• No Refunds: Services are non-refundable once work has commenced, except for non-delivery
• Project Hold: We reserve the right to pause projects if payment is not received by agreed dates
• Invoicing: Invoices are issued upon project milestone completion

5. Project Scope & Revisions

• Scope Changes: Any changes to the agreed project scope require a written amendment and may incur additional charges
• Revisions: Typically, 2-3 revisions are included. Additional revisions are charged at AED 500/hour
• Timeline: Project timelines are estimates and subject to client feedback delays
• Delays: We are not liable for delays caused by client late submissions or approvals

6. Client Responsibilities

Clients are responsible for:

• Providing accurate, complete project requirements and content
• Ensuring all content provided is original, licensed, or authorized for use
• Obtaining necessary rights and permissions for images, videos, copy, and third-party materials
• Timely feedback and approvals to keep projects on schedule
• Meeting all payment deadlines
• Maintaining updated login credentials and admin access
• Ensuring their business complies with all applicable UAE laws

7. Intellectual Property Rights

• Custom Work: Upon full payment, clients own the custom designs, code, and deliverables created specifically for their project
• Templates & Tools: Pre-designed templates, libraries, and third-party tools remain our property or the vendor's property
• Portfolio Rights: We retain the right to showcase completed work in our portfolio, case studies, and marketing materials unless otherwise agreed in writing
• License Grant: Client grants us a perpetual license to use project results for portfolio, training, and reference purposes
• Our IP: All methodologies, processes, and pre-existing tools developed by us remain our intellectual property

8. Confidentiality & Data Protection

• Data Handling: We comply with UAE Federal Decree-Law No. 45 of 2021 and treat all client information as confidential
• No Third-Party Sharing: We do not share client data with third parties without written consent, except as required by law or security purposes
• Data Security: We implement industry-standard security measures to protect client data
• Data Retention: Client data is retained only as long as necessary for service delivery and legal compliance
• Compliance: Our practices comply with UAE Personal Data Protection Law and DIFC Data Protection Law

9. Content & Liability

• Client Content: Clients assume full responsibility for accuracy, legality, and appropriateness of all content they provide
• Our Recommendations: We provide recommendations based on best practices, but clients are responsible for their implementation and legal compliance
• No Legal Advice: We do not provide legal advice. Clients should consult legal counsel for compliance matters
• No Warranty: Results in digital marketing are not guaranteed. SEO and marketing outcomes depend on multiple external factors

10. Limitation of Liability

• Liability Cap: Our total liability is limited to the amount paid by client for the specific project or service in question
• Excluded Damages: We are not liable for indirect, incidental, consequential, special, or punitive damages
• Third-Party Services: We are not responsible for downtime or issues caused by third-party hosting providers, payment gateways, or plugins
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control (natural disasters, government actions, etc.)

11. Warranties & Disclaimers

• As-Is Services: Services are provided "as is" without warranties of any kind, express or implied
• No Guarantees: We do not guarantee specific rankings, traffic numbers, or ROI from digital marketing services
• Third-Party Content: We are not responsible for third-party content, plugins, or tools integrated into projects
• Uptime: While we strive for 99% uptime, we do not guarantee 100% website availability

12. Maintenance & Support

• Post-Launch Support: 30 days of free technical support is included after project handover
• Maintenance Plans: Ongoing maintenance, updates, and support are available as paid add-ons
• Client Responsibility: Clients are responsible for regular backups, security updates, and content management after handover
• Third-Party Hosting: Clients are responsible for their hosting provider's uptime and performance

13. Termination & Cancellation

• Termination by Client: Clients may terminate projects with 7 days written notice but must pay for all work completed to date
• Termination by Company: We may terminate services for non-payment or breach of these terms
• Early Termination Fee: A 25% project cancellation fee applies to early termination unless non-delivery is our fault
• Refund Policy: Paid deposits for cancelled projects are non-refundable; only work not started is credited

14. Compliance with Law

Clients warrant that:

• Their business complies with all applicable UAE, Dubai, and international laws
• They will not use our services for illegal purposes or to violate third-party rights
• Content provided is legal and does not infringe on intellectual property or privacy rights
• They comply with UAE Anti-Money Laundering Law and sanctions regulations

15. Dispute Resolution & Governing Law

• Governing Law: These terms are governed by the laws of the United Arab Emirates
• Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the Dubai Courts
• Arbitration: For disputes involving DIFC clients, the DIFC Arbitration Centre may be used
• Dispute Process: Parties agree to attempt informal resolution before formal legal proceedings

16. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms. Clients will be notified of significant changes via email.
